Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Client," or "you") and Archon Systems LLC, a Florida limited liability company ("Archon Systems," "we," "us," or "our"). By accessing or using any website, product, service, or platform operated by Archon Systems, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are accessing our services on behalf of a business or legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use our services.

2. Services

Archon Systems develops and operates software products, subscription-based platforms, and provides technology consulting and custom software development services. The specific scope, features, pricing, and conditions applicable to individual products or engagements are governed by:

• Supplemental product-specific terms presented at the time of registration or purchase
• Executed Statements of Work, Master Service Agreements, or other written agreements between you and Archon Systems
• Applicable order forms, invoices, or subscription confirmations

In the event of a conflict between these Terms and a separately executed agreement, the separately executed agreement shall govern with respect to the subject matter of that agreement.

3. Account Registration and Responsibilities

Certain services require you to register for an account. By registering, you agree to:

• Provide accurate, current, and complete information during registration and maintain the accuracy of such information
• Maintain the confidentiality of your account credentials and not share them with any third party
• Notify us immediately at hello@buildarchon.com upon becoming aware of any unauthorized use of your account or any other security breach
• Accept full responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or are used in violation of these Terms.

4. Fees, Billing, and Subscriptions

Fees for paid services are as stated at the time of purchase or as set forth in an applicable agreement. Subscription fees are billed in advance on a recurring basis and will automatically renew at the end of each billing period unless cancelled prior to renewal. All fees are non-refundable except as expressly set forth in a separate agreement or as required by applicable law. We reserve the right to modify fees upon reasonable advance notice. Continued use of the applicable service following a fee change constitutes your acceptance of the revised fees. Payment processing is handled by a third-party payment processor and is subject to that processor's applicable terms.

5. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services in any manner that violates any applicable federal, state, local, or international law or regulation
• Attempt to gain unauthorized access to any portion of our services, systems, or networks
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any proprietary software
• Reproduce, distribute, sublicense, sell, or otherwise commercially exploit our services or any portion thereof without express written authorization
• Introduce malware, viruses, or any other harmful or disruptive code into our systems
• Use automated tools, scripts, or bots to access or interact with our services in an unauthorized manner
• Use our services in connection with any investment scheme, financial fraud, or any activity that violates applicable securities laws or regulations

6. Intellectual Property

All software, source code, designs, content, trademarks, service marks, trade names, and other intellectual property comprising or associated with our services are owned by or licensed to Archon Systems LLC and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property. You may not use our trademarks or branding without prior written consent.

With respect to custom development engagements, intellectual property ownership shall be governed by the applicable Statement of Work or Master Service Agreement.

7. Financial Information Disclaimer

Certain products operated by Archon Systems provide data analysis, signal generation, or market information tools. All such outputs are provided for informational and educational purposes only and do not constitute financial, investment, trading, or legal advice. Archon Systems is not a registered investment advisor, broker-dealer, or financial institution. You are solely responsible for any decisions made in reliance on information provided by our products. Past performance of any signal, model, or analytical tool is not indicative of future results. You should consult a qualified financial professional before making any investment decisions.

8. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ARCHON SYSTEMS LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100).

10. Indemnification

You agree to defend, indemnify, and hold harmless Archon Systems LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of our services, or your violation of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use our services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, limitations of liability, and governing law.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of our services shall be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction in such courts. Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction.

13. Modifications to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page with a revised effective date. Your continued use of our services following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of our services.
